Poru\u010dite\u013e e\u0161te za \u017eivota uzatvoril so svojou dc\u00e9rou k\u00fapnu zmluvu, predmetom ktorej bol prevod vlastn\u00edckeho pr\u00e1va k\u00a0bytu za dojednan\u00fa k\u00fapnu cenu vo v\u00fd\u0161ke 4000,- EUR. K\u00fapna cena predmetn\u00e9ho bytu nebola stanoven\u00e1 znaleck\u00fdm posudkom, ale bola medzi \u00fa\u010dastn\u00edkmi zmluvy dohodnut\u00e1. I\u0161lo teda o\u00a0cenu, ktor\u00e1 bola v\u00a0porovnan\u00ed s\u00a0trhovou cenou vysoko podhodnoten\u00e1.<\/p>\n<p>V\u00a0konan\u00ed bola sporn\u00e1 ot\u00e1zka platnosti k\u00fapnej zmluvy (uzatvorenej v\u00a0r. 2009), ktor\u00fa s\u00fad posudzoval s\u00a0oh\u013eadom na mo\u017en\u00fd rozpor s\u00a0dobr\u00fdmi mravmi a\u00a0z\u00a0toho vypl\u00fdvaj\u00facu mo\u017en\u00fa absol\u00fatnu neplatnos\u0165. Bolo preto potrebn\u00e9 ust\u00e1li\u0165, \u010di ve\u013emi n\u00edzka cena je alebo nie je dohodnut\u00e1 v\u00a0rozpore s\u00a0dobr\u00fdmi mravmi.<\/p>\n<p>Pri hodnoten\u00ed k\u00fapnej ceny prihliadal s\u00fad na pomerne \u0161iroko koncipovan\u00fa zmluvn\u00fa vo\u013enos\u0165 \u00fa\u010dastn\u00edkov ob\u010dianskopr\u00e1vnych vz\u0165ahov, ktor\u00e1 vo v\u0161eobecnosti (ak to kogentn\u00e9 normy nevylu\u010duj\u00fa), zah\u0155\u0148a tak slobodn\u00fd v\u00fdber zmluvn\u00e9ho partnera, ako aj slobodn\u00e9 dojednanie obsahu zmluvy, vr\u00e1tane ur\u010denia k\u00fapnej ceny.<\/p>\n<p>Ak\u00fdmi \u00favahami sa s\u00fad riadil a\u00a0pre\u010do v\u00a0konan\u00ed rozhodol v\u00a0prospech \u017ealovanej (kupuj\u00facej)?<\/p>\n<p>Pod\u013ea ustanovenia \u00a7 589 OZ je potrebn\u00e9 cenu dojedna\u0165 v\u00a0s\u00falade so v\u0161eobecne z\u00e1v\u00e4zn\u00fdmi pr\u00e1vnymi predpismi. Ako uviedol s\u00fad, <em>\u201e<\/em><em>t\u00fdmito v\u0161eobecne z\u00e1v\u00e4zn\u00fdmi pr\u00e1vnymi predpismi sa rozumie najm\u00e4 z\u00e1kon \u010d. 18\/1996 Z. z. o cen\u00e1ch, tento v\u0161ak v z\u00e1sade nereguluje dohadovanie v\u00fd\u0161ky ceny v s\u00fakromnopr\u00e1vnych vz\u0165ahoch t\u00fdkaj\u00facich sa prevodu nehnute\u013enosti\u201c<\/em>.<\/p>\n<p>D\u00f4le\u017eit\u00e9 preto bolo pos\u00fadi\u0165 ot\u00e1zku, \u010di je s\u00a0oh\u013eadom na predmet zmluvy dojednanie ceny viazan\u00e9 na niektor\u00fd v\u0161eobecne z\u00e1v\u00e4zn\u00fd pr\u00e1vny predpis, resp. \u010di je n\u00edm cenotvorba nejako regulovan\u00e1 a\u00a0limitovan\u00e1. Ak je odpove\u010f na t\u00fato ot\u00e1zku z\u00e1porn\u00e1, potom sa <em>\u201eneprie\u010di z\u00e1konu, pokia\u013e \u00fa\u010dastn\u00edci k\u00fapnej zmluvy &#8230; dojednaj\u00fa k\u00fapnu cenu vo v\u00fd\u0161ke, ktor\u00e1 je bu\u010f vy\u0161\u0161ia alebo ni\u017e\u0161ia ako cena obvykl\u00e1 (trhov\u00e1)\u201c<\/em>. V\u00a0takom pr\u00edpade nem\u00f4\u017ee by\u0165 v\u00a0rozpore s\u00a0pr\u00e1vnym poriadkom ani dojednanie v\u00fdrazne ni\u017e\u0161ej ceny, v\u00a0ktorej u\u017e na prv\u00fd poh\u013ead bada\u0165 <em>\u201ezvl\u00e1\u0161\u0165 hrub\u00fd nepomer medzi plnen\u00edm a\u00a0protiplnen\u00edm pri k\u00fape nehnute\u013enosti\u201c<\/em>.<\/p>\n<p>Uveden\u00e9 sa t\u00fdka aj situ\u00e1cie, ak je k\u00fapna cena za byt dohodnut\u00e1 vo v\u00fd\u0161ke 1,- EURO.<\/p>\n<p>S\u00fad nevylu\u010duje, \u017ee dojednanie v\u00fdrazne ni\u017e\u0161ej k\u00fapnej ceny m\u00f4\u017ee by\u0165 za ur\u010dit\u00fdch okolnost\u00ed pri\u0165a\u017euj\u00facou okolnos\u0165ou pri posudzovan\u00ed (ne)platnosti k\u00fapnej zmluvy na z\u00e1klade komplexu \u010fal\u0161\u00edch skuto\u010dnost\u00ed, ktor\u00e9 uzatvoreniu zmluvy predch\u00e1dzali. <strong>Nem\u00f4\u017ee v\u0161ak by\u0165 nikdy skuto\u010dnos\u0165ou jedinou<\/strong>, ktor\u00e1 by sama bez \u010fal\u0161ieho neplatnos\u0165 zmluvy sp\u00f4sobila. Pri\u010dom za jednu z\u00a0rozhoduj\u00facich skuto\u010dnost\u00ed s\u00fad ozna\u010dil <strong>vz\u00e1jomn\u00fd vz\u0165ah medzi pred\u00e1vaj\u00facim a\u00a0kupuj\u00facim<\/strong>. <em>\u201ePos\u00fadenie, \u010di dojednanie pr\u00edli\u0161 n\u00edzkej k\u00fapnej ceny, pri ktorom doch\u00e1dza k \u201ezvl\u00e1\u0161\u0165 hrub\u00e9mu nepomeru medzi plnen\u00edm a protiplnen\u00edm pri k\u00fape nehnute\u013enost\u00ed\u201c, je alebo nie je v rozpore s dobr\u00fdmi mravmi, z\u00e1vis\u00ed v ka\u017edej veci na individu\u00e1lnych skutkov\u00fdch okolnostiach t\u00fdkaj\u00facich sa <u>predov\u0161etk\u00fdm vz\u00e1jomn\u00e9ho vz\u0165ahu zmluvn\u00fdch str\u00e1n<\/u>.\u201c<\/em><\/p>\n<p>Ak je medzi rodi\u010dmi a\u00a0de\u0165mi dohodnut\u00e1 len symbolick\u00e1 k\u00fapna cena za prev\u00e1dzan\u00fa nehnute\u013enos\u0165, av\u0161ak v\u00a0tejto je zoh\u013eadnen\u00e1 dlhodob\u00e1 obetav\u00e1 starostlivos\u0165 nadob\u00fadate\u013ea, je bez \u010fal\u0161ieho prakticky vyl\u00fa\u010den\u00e9 hovori\u0165 o\u00a0rozpore s\u00a0dobr\u00fdmi mravmi. <em>\u201e<\/em><em>Pokia\u013e bolo uzavretie k\u00fapnej zmluvy v\u00fdsledkom dohody jej \u00fa\u010dastn\u00edkov nesp\u00e4tej s konan\u00edm prie\u010diacim sa dobr\u00fdm mravom (konan\u00edm contra bonos mores), samo dojednanie k\u00fapnej ceny v tejto v\u00fd\u0161ke nie je v rozpore s dobr\u00fdmi mravmi, nem\u00e1 spolo\u010densky neakceptovate\u013en\u00e9 ciele, ani d\u00f4sledky, ktor\u00e9 by boli v kol\u00edzii s dobr\u00fdmi mravmi.\u201c<\/em><\/p>\n<p>Z\u00a0vy\u0161\u0161ie uveden\u00fdch d\u00f4vodov preto Najvy\u0161\u0161\u00ed s\u00fad Slovenskej republiky uznesen\u00edm sp. zn. 8Cdo\/156\/2020 dovolanie odmietol.<\/p>\n<p>&nbsp;<\/p>\n<p><strong><u>S\u00favisiace rozhodnutia:<\/u><\/strong><\/p>\n<p><u>Rozsudok Najvy\u0161\u0161ieho s\u00fadu SR, sp. zn. 3Cdo\/244\/2018:<\/u><\/p>\n<p><em>\u201eSama skuto\u010dnos\u0165, \u017ee \u00fa\u010dastn\u00edci k\u00fapnej zmluvy o prevode nehnute\u013enosti sa pri jej uzavret\u00ed dohodli na k\u00fapnej cene 1 \u20ac, bez \u010fal\u0161ieho nesignalizuje poru\u0161enie dobr\u00fdch mravov.\u201c<\/em><\/p>\n<p><u>Uznesenie \u00dastavn\u00e9ho s\u00fadu Slovenskej republiky III. \u00daS 412\/2016-10:<\/u><\/p>\n<p><em>\u201eV\u0161eobecn\u00fd s\u00fad konal v medziach svojej pr\u00e1vomoci a postupoval spr\u00e1vne, ke\u010f k\u00fapnu zmluvu, ktorej predmetom bol prevod nehnute\u013enosti, len vzh\u013eadom na n\u00edzku dojednan\u00fa k\u00fapnu cenu 1 Sk nepova\u017eoval za simulovan\u00fd pr\u00e1vny \u00fakon, ktor\u00fdm malo by\u0165 zastret\u00e9 darovanie. Uzavret\u00e1 k\u00fapna zmluva obsahuje podstatn\u00e9 n\u00e1le\u017eitosti (dohoda o predmete k\u00fapy a dohoda o k\u00fapnej cene) a, naopak, nem\u00e1 n\u00e1le\u017eitosti darovacej zmluvy, ke\u010f\u017ee v nej bola dohodnut\u00e1 k\u00fapna cena (aj ke\u010f n\u00edzka), ke\u010f podstatnou n\u00e1le\u017eitos\u0165ou darovacej zmluvy je, naopak, bezodplatnos\u0165. \u00dastavn\u00fd s\u00fad sa stoto\u017enil so z\u00e1verom, \u017ee v symbolickej dohodnutej k\u00fapnej cene za prev\u00e1dzan\u00fa nehnute\u013enos\u0165 bola rodi\u010dmi \u00fa\u010dastn\u00edkov zoh\u013eadnen\u00e1 dlhoro\u010dn\u00e1 a obetav\u00e1 starostlivos\u0165 jedn\u00e9ho z \u00fa\u010dastn\u00edkov konania o rodi\u010dov, \u010do je v s\u00falade s dobr\u00fdmi mravmi a predmetn\u00fa k\u00fapnu zmluvu, preto nie je mo\u017en\u00e9 pova\u017eova\u0165 za bezodplatn\u00fd pr\u00e1vny \u00fakon.\u201c<\/em><\/p>\n<p><u>Rozsudok Najvy\u0161\u0161ieho s\u00fadu \u010ceskej republiky, sp. zn. 30Cdo\/1776\/2007:<\/u><\/p>\n<p><em>\u201ePosouzen\u00ed, zda smlouva je rozporn\u00e1 s dobr\u00fdmi mravy (pop\u0159. z\u00e1sadami poctiv\u00e9ho obchodn\u00edho styku), je z\u00e1visl\u00e9 na konkr\u00e9tn\u00edch okolnostech a pom\u011brech smluvn\u00edch stran, proto m\u00e1 v\u00fdznam pr\u00e1v\u011b a jen pro projedn\u00e1vanou v\u011bc a nespl\u0148uje tak podm\u00ednku judikatorn\u00edho p\u0159esahu do pom\u011br\u016f spor\u016f jin\u00fdch (obdobn\u00fdch).\u201c<\/em><\/p>\n","protected":false},"excerpt":{"rendered":"<p>&nbsp; Najvy\u0161\u0161\u00ed s\u00fad Slovenskej republiky (\u010falej aj \u201eNS SR\u201c) posudzoval, kam a\u017e siaha z\u00e1sada zmluvnej vo\u013enosti v\u00a0ob\u010dianskopr\u00e1vnych vz\u0165ahoch.
